Section 12A: Conditions for Tax Exemption of Charitable and Religious Trusts

Section 12A of the Income-tax Act, 1961 sets out important conditions a charitable or religious trust or institution must satisfy before claiming exemption under Sections 11 and 12. Registration alone does not guarantee exemption: application of income, records, audit, return filing and other statutory requirements also matter.

Law transition: The Income-tax Act, 2025 applies from 1 April 2026, subject to its commencement and transitional provisions. This article explains Section 12A of the 1961 Act for the years and proceedings to which it applies. For tax year 2026-27 onward, check the corresponding provisions and prescribed forms under the 2025 Act rather than assuming historical section numbers or procedures continue unchanged.

What is Section 12A?

Section 12A prescribes conditions for the application of Section 11 (income from property held for charitable or religious purposes) and Section 12 (certain voluntary contributions and related income). The term charitable purpose is defined in Section 2(15) of the 1961 Act; its scope and restrictions depend on the activity and applicable assessment year.

Key conditions for claiming exemption

1. Valid registration

Eligible trusts and institutions generally require registration under the applicable statutory regime. The older Section 12AA registration procedure was superseded for relevant applications by Section 12AB, introduced as part of the revised registration framework. Registration, renewal, provisional registration and conversion of provisional registration must be considered under the rules applicable to the particular application and year.

2. Proper books of account and audit

Section 12A(1)(b), as amended for relevant years, requires maintenance of books and other documents as prescribed and an audit where the trust's total income, computed before giving effect to Sections 11 and 12, exceeds the maximum amount not chargeable to income tax. The prescribed audit report is ordinarily furnished electronically in Form 10B or Form 10BB, depending on the applicable conditions and rules. The form and filing deadline should be checked for the relevant assessment year.

3. Timely income-tax return

Section 12A(1)(ba) links exemption to furnishing the return in accordance with Section 139(4A) and the applicable statutory timing requirements. Late or missing returns and audit reports may jeopardise exemption; the outcome depends on the law, valid extensions and available relief for the year concerned.

4. Genuine charitable or religious activities

The trust must act consistently with its objects and comply with restrictions in Sections 11, 12 and 13. Private benefit, prohibited investments, specified-person transactions or non-genuine activities can affect exemption or registration. A change to objects that does not conform to registration conditions may trigger a fresh application requirement.

Registration under Section 12AB

Section 12AB provides the examination and registration framework for specified trusts and institutions under the 1961 Act. The Principal Commissioner or Commissioner may examine the objects, genuineness of activities and compliance with other laws material to the trust's objects, where required. The prescribed registration applications have used Form 10A and Form 10AB for different categories; eligibility, timing and procedural requirements have changed over time. Consult current instructions before filing.

How Sections 11 and 12 interact with Section 12A

Under the 1961 Act, a qualifying trust generally applies at least 85% of relevant income to charitable or religious purposes in India, with the balance of up to 15% ordinarily eligible for accumulation subject to the statute. Special accumulation beyond the ordinary allowance is subject to conditions, including purpose, time period, filing requirements and permitted investments. These are distinct from the Section 12A registration and compliance conditions.

Corpus contributions with a specific direction, inter-trust donations, depreciation on assets previously treated as application, and income from incidental business activities are governed by additional provisions and limitations. Each must be assessed under the law in force for the relevant year.

  • Confirm the relevant tax year and applicable law (1961 Act or 2025 Act).
  • Verify that registration is valid for the relevant year and covers the institution's objects.
  • Maintain books, donation records, receipts, expenditure evidence and investment records.
  • Check whether an audit is required and submit the correct prescribed report.
  • File the return and any accumulation or option forms within applicable deadlines.
  • Review Sections 11, 12 and 13 before computing exempt income.

Frequently asked questions

Is registration under Section 12A enough to obtain tax exemption?

No. The institution must also satisfy the applicable provisions of Sections 11, 12 and 13 and the conditions governing records, audit, returns and income application.

What is the difference between Sections 12A, 12AA and 12AB?

Section 12A states conditions for the exemptions under Sections 11 and 12. Section 12AA governed the earlier registration procedure. Section 12AB established the revised registration framework for relevant years under the 1961 Act.

Can a trust claim exemption without filing its return?

Failure to file the prescribed return within the applicable statutory time may result in denial of exemption. The answer for a specific year depends on its law and any valid extensions or relief.
