Section 245HAA of the Income-tax Act, 1961: Credit for Tax Paid on Abatement of Proceedings
Section 245HAA of the Income-tax Act, 1961 safeguards payments already made by a taxpayer when specified proceedings before the former Income-tax Settlement Commission do not result in a settlement. It requires the Assessing Officer to allow credit for qualifying tax and interest paid before the settlement application or while the case was pending.
1. Meaning and purpose of Section 245HAA
Abatement of settlement proceedings means that proceedings before the Settlement Commission terminate without a completed settlement in circumstances specified by law, so the regular income-tax authority may resume dealing with the case. Section 245HA addresses abatement and its consequences; section 245HAA addresses the separate but related issue of crediting tax and interest already paid.
The objective is to avoid overlooking qualifying payments merely because the settlement route failed. It does not cancel the underlying tax liability or create a separate entitlement to immunity or a refund.
2. Statutory provision: Section 245HAA
Where an application made under section 245C on or after the 1st day of June, 2007, is rejected under sub-section (1) of section 245D, or any other application made under section 245C is not allowed to be proceeded with under sub-section (2A) of section 245D or is declared invalid under sub-section (2C) of section 245D or has not been allowed to be further proceeded with under sub-section (2D) of section 245D or an order under sub-section (4) of section 245D has not been passed within the time or period specified under sub-section (4A) of section 245D, the Assessing Officer shall allow the credit for the tax and interest paid on or before the date of making the application or during the pendency of the case before the Settlement Commission.
This reproduces the operative provision contained in the original page. Its application must be assessed in light of the relevant statutory version, dates, orders and transitional rules.
3. When is credit required?
| Relevant provision | Situation addressed | Consequence under Section 245HAA |
|---|---|---|
| Section 245D(1) | Settlement application made on or after 1 June 2007 is rejected. | Assessing Officer must give credit for qualifying tax and interest paid. |
| Section 245D(2A) | Application is not permitted to proceed. | Credit is allowed in regular proceedings. |
| Section 245D(2C) | Application is declared invalid. | Qualifying payments must be recognised. |
| Section 245D(2D) | Application is not allowed to proceed further. | Credit must be allowed. |
| Section 245D(4A) | No order under section 245D(4) is passed within the specified time. | Credit must be given for qualifying payments. |
Important distinction: Section 245HA contains additional rules concerning abatement, including certain orders not providing for settlement terms. Section 245HAA must be applied according to its own wording rather than assuming that every event mentioned in section 245HA is expressly repeated in section 245HAA.
4. Which payments qualify for credit?
The provision expressly covers tax and interest paid either (a) on or before the date of making the settlement application or (b) during the pendency of the case before the Settlement Commission. The Assessing Officer should reconcile the relevant challans, payment records, assessment-year details and settlement documents before determining the net balance.
Section 245HAA does not expressly mention credit for every kind of penalty or other charge. Any such adjustment requires a separate applicable legal basis. A payment must also be attributed to the correct taxpayer, assessment year and demand.
5. Illustration of credit for tax and interest
Assume an assessee paid Rs. 3,00,000 as tax and Rs. 40,000 as interest before filing a qualifying settlement application, and a further Rs. 60,000 as tax while the case was pending. If the application is subsequently rejected in a situation covered by section 245HAA, the Assessing Officer should recognise Rs. 4,00,000 in qualifying payments when computing the amount payable in the resumed proceedings, subject to verification and correct allocation. This illustration is not a determination of the final tax liability.
6. Practical steps to obtain the correct credit
- Identify the settlement application date and the specific order or event under section 245D.
- Collect copies of tax-payment challans, interest-payment records and acknowledgements.
- Reconcile amounts paid before filing and during the settlement proceedings.
- Provide the Assessing Officer with the settlement order, payment evidence and assessment-year mapping.
- Review the resulting assessment, demand or refund computation and pursue the applicable statutory remedy if any payment has not been credited.
7. Relationship with Sections 245HA, 245C and 245D
Section 245HA describes the circumstances and effects of abatement, including resumption of proceedings and the use of material obtained during settlement. Section 245C governed applications for settlement, while Section 245D prescribed the processing and disposal of those applications. Section 245HAA ensures that qualifying earlier payments are not ignored when the regular assessment route resumes.
8. Settlement Commission transition and the Income-tax Act, 2025
The Finance Act, 2021 ended the former Settlement Commission regime for fresh applications from 1 February 2021 and provided for handling eligible pending applications through transitional machinery. For matters arising after commencement of the Income-tax Act, 2025 on 1 April 2026, the applicable enactment, savings provisions and procedural framework must be identified before deciding the appropriate treatment. This historical section should not be mistaken for an active application facility.
