Order XXXIV Rule 12 CPC - Sale Subject to Prior Mortgage
Order XXXIV Rule 12 of the Code of Civil Procedure, 1908 (CPC) explains when a court may order the sale of mortgaged property free from an earlier mortgage. The key safeguards are the consent of the prior mortgagee and preservation of that mortgagee's interest in the proceeds of sale.
Text of Order XXXIV Rule 12 CPC
Where any property the sale of which is directed under this Order is subject to a prior mortgage, the Court may, with the consent of the prior mortgagee, direct that the property be sold free from the same, giving to such prior mortgagee the same interest in the proceeds of the sale as he had in the property sold.
Meaning of Rule 12: sale free from an earlier mortgage
A property may secure more than one mortgage. Where a court orders a sale under Order XXXIV, an earlier mortgage normally has to be considered because it may rank ahead of the mortgage being enforced. Rule 12 allows the court, if the earlier mortgagee consents, to order a sale free of that prior mortgage while transferring the prior mortgagee's corresponding interest from the property to the sale proceeds.
The rule does not, by itself, extinguish the earlier mortgagee's economic priority. It changes the property against which the protected interest is asserted, subject to the court's directions and the rights of parties.
Key legal terms and applicable provisions
- Mortgage: Under section 58(a) of the Transfer of Property Act, 1882, a mortgage is the transfer of an interest in specific immovable property to secure payment of money advanced or to be advanced, an existing or future debt, or performance of an engagement giving rise to a pecuniary liability.
- Mortgagor and mortgagee: Under section 58(a), the person transferring the interest is the mortgagor and the person receiving it is the mortgagee.
- Prior mortgage: An earlier mortgage or mortgage interest that has priority over a later mortgage, subject to the applicable law, instrument and facts.
- Priority: Section 48 of the Transfer of Property Act, 1882 sets out the general rule of priority between rights created at different times, subject to special contracts or reservations and other applicable rules.
- Mortgage suit: Order XXXIV CPC contains procedural rules for suits involving foreclosure, sale and redemption of mortgaged immovable property.
Requirements for an order under Rule 12
- Sale directed under Order XXXIV: The court has directed the sale of property in mortgage proceedings.
- Existing prior mortgage: The property remains subject to an earlier mortgage.
- Consent: The prior mortgagee agrees to the property being sold free from that mortgage. The court cannot dispense with this express statutory condition under Rule 12.
- Protection in proceeds: The court gives the prior mortgagee the same interest in the proceeds as was held in the property.
- Judicial discretion: The wording 'may' means the court considers whether to make the order in the circumstances of the case.
Effect on buyers and mortgage creditors
A sale free from a prior mortgage can allow the purchaser to acquire the property without that specified earlier encumbrance, while the earlier mortgagee looks to the sale proceeds to the extent of the protected interest. The actual distribution depends on the court's directions, established priorities, sale expenses and other enforceable claims. A sale under Rule 12 should not be confused with an automatic cancellation of every charge or encumbrance affecting the property.
Illustrative example
Assume a property is mortgaged first to Lender A and later to Lender B. In proceedings involving Lender B, the court directs sale of the property. If Lender A consents, the court may direct that the property be sold free from Lender A's mortgage, while preserving Lender A's corresponding interest in the sale proceeds. The order does not allow Lender B to disregard Lender A's lawful priority.
